A. Name
The name of the organization shall be the Consortium of Southern California Colleges and Universities, abbreviated CSCCU.
B. Purpose
The Consortium of Southern California Colleges and Universities is an organization established to present educational alternatives for adult learners to corporate, community and professional organizations. Specifically, the Consortium:

Organizes, schedules, and conducts educational fairs at civic and corporate sites. |
| 2. |
Produces a directory/handbook of educational programs available for adult learners. |
3. |
Invites and promotes valuable interchange among member institutions for information sharing and developments. |
| 4. |
Provides other programs and services, as applicable. |
C. Membership
| 1. |
Eligibility: Membership in the Consortium is open to institutions of higher education meeting the following criteria:
a. The academic institution must be an institution of higher education, which is fully accredited (not just in candidacy status) by the Western Association of Schools and Colleges or one of its regional counterparts.
b. The academic institution must be willing, through its representatives, to actively participate in Consortium activities and fulfill its share of responsibilities within the Consortium.

Privileges:
a. Should be represented at each Consortium meeting.
b. May exercise one vote in all Consortium proceedings.
c. May exhibit at any open Consortium educational fair.

Associate Membership: An organization that does not meet Consortium membership requirements may be nominated by a Consortium member institution for associate membership. Such associate membership must be approved by a majority vote at a regular meeting of the Consortium. Associate members pay membership fees, are listed as associate members in Consortium literature, may attend Consortium meetings and participate in Consortium functions, but have no voting rights and may not serve as officers of the Consortium. |

Affiliate Membership: A Consortium member may nominate an organization that provides on-line distance-learning programs to adult learners for affiliate membership. Such affiliate membership must be approved by a majority vote at a regular meeting of the Consortium. Affiliate members pay membership fees determined by the Board of Directors, are listed as affiliate members in Consortium literature, may attend Consortium meetings and participate in Consortium functions, but have no voting rights and may not serve as officers of the Consortium. |
D. Structure
The Consortium is a democratic organization, which accomplishes its workload and objectives through a system of active committees composed of volunteers from the Consortium member representatives. Direction is provided through a slate of elected officers and appointed members of the Board of Directors.

Consortium Representatives: Consortium member institutions may appoint one or more representatives to attend Consortium functions. Each member institution, however, may cast only one vote in Consortium proceedings.

Consortium Officers
a. President — The President is an elected representative who, after serving as President Elect, serves a two-year term.
b. President Elect — Beginning in spring 2004, the President Elect is an elected representative who serves a one-year term as President Elect before moving, automatically, into the office of President.
c. Vice President — The Vice President is an elected representative who serves a two-year term.
d. Secretary/Treasurer — Beginning in spring 2004, the Secretary/Treasurer is an elected representative who serves a two-year term.

Election of Officers: Election of officers will be held annually at the spring general membership meeting. Consortium officers shall be elected in alternating years, with the President Elect and Secretary/Treasurer elected in even numbered years and the Vice-President elected in odd numbered years. Newly elected officers will assume their elected positions at the conclusion of the Spring meeting. |
E. Meetings
The Consortium meets in general and regional membership meetings, with meetings held at least quarterly. A member of the Executive Committee can call special meetings of the general membership as necessary to conduct Consortium business.
F. Quorum
Ten (10) full member institutions constitute a quorum.
G. Amendments
Amendments to this Charter require a majority vote of the members present at a general membership meeting. Representatives of member institutions must receive written notice of proposed changes at least one week in advance of the vote.
